The rules of the road for buying and using Doza Assist. Plain language, no surprises.

These Terms of Service (the "Terms") form a binding agreement between you and Doza Visuals LLC, a Massachusetts limited liability company ("Doza Visuals," "we," "us," or "our"), governing your access to and use of Doza Assist software and related services available at doza.ai (collectively, the "Service"). By purchasing, downloading, installing, or using the Service, you agree to these Terms.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. In that case, "you" refers to that entity.

01The Product

Doza Assist is a desktop application for macOS that helps video editors transcribe footage, search interviews, surface narrative beats, and export sequences to Final Cut Pro, Adobe Premiere Pro, and DaVinci Resolve. The application runs on your computer. By default, your media, transcripts, and projects are processed locally and are not uploaded to any server operated by Doza Visuals.

The Service may include optional bring-your-own-key (BYOK) features that allow you to connect a third-party AI provider (such as OpenAI, Anthropic, Google, or another service) using an API key you supply. These features are off by default. If you enable them, content you choose to send is transmitted directly to the provider you select and is governed by that provider's terms and privacy policy, not ours. You use BYOK features at your own risk. See our Privacy Policy for details.

We offer the Service in two commercial tiers:

• Doza Assist Pro. A one-time license purchase that includes one year of updates. After year one, continued updates are available through an optional annual maintenance plan.
• Doza Assist Studio. An annual subscription, billed per seat, that includes ongoing updates, multi-seat license management, and priority support for the duration of the subscription.

02License Grant

Subject to your compliance with these Terms and payment of applicable fees, Doza Visuals grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Service for your internal business or personal use. For Pro, the license is per individual user. For Studio, each paid seat covers one named user.

03Open Source Core

The underlying engine of Doza Assist is published as open source under the MIT License at github.com/DozaVisuals/doza-assist. The commercial Pro and Studio products include additional features, distribution packaging, signing, and support that are not covered by the open source license. These Terms govern your use of the commercial product. The open source license governs the open source code on its own terms.

04Permitted Use and Restrictions

You may use the Service for any lawful purpose consistent with these Terms. You agree not to:

• Resell, rent, lease, sublicense, or otherwise transfer your license to a third party
• Share license keys, account credentials, or installation files with anyone outside the seats covered by your purchase
• Reverse engineer, decompile, or disassemble the commercial components of the Service, except to the extent expressly permitted by applicable law
• Remove or alter copyright notices, branding, or proprietary markings
• Use the Service to process content you do not have the right to process, including footage, audio, or text that violates the intellectual property, privacy, or other rights of any third party
• Use the Service to develop a competing product

05Pricing, Fees, and Payment

Prices for the Service are published on doza.ai and are payable in U.S. dollars unless otherwise specified at checkout. Payments are processed by Paddle.com Market Limited ("Paddle"), which acts as the merchant of record for sales through doza.ai. Paddle handles billing, tax collection, currency conversion, and chargeback management. Your purchase is governed by Paddle's buyer terms in addition to these Terms.

Applicable sales tax, VAT, GST, or other transaction taxes will be added at checkout based on your billing location and the requirements of the relevant jurisdiction.

06Subscriptions and Renewal

Doza Assist Studio is sold as an annual subscription billed in advance. Unless you cancel before the renewal date, your subscription will automatically renew for successive one-year terms at the then-current published rate. You may cancel at any time by emailing [email protected] or by managing your subscription through the link provided in your Paddle receipt. Cancellation takes effect at the end of the then-current billing period. Refunds are handled under our Refund Policy and Paddle's refund terms.

07Refunds

Every Doza Assist purchase is covered by a 30-day money-back guarantee. Statutory consumer-protection rights apply in addition where required by local law. Full terms are in our Refund Policy, which is incorporated by reference into these Terms, and refunds are processed by Paddle under Paddle's Refund Policy.

08Updates and Support

We deliver updates to the Service from time to time. Updates may add features, fix defects, or change how the Service works. Pro licenses include one year of updates from the date of purchase. Studio subscriptions include updates for the duration of the active subscription. Support is provided by email at [email protected]. We aim to respond to support requests within two business days.

09Intellectual Property

The Service, its visual design, code, documentation, and all related materials are owned by Doza Visuals or its licensors and are protected by U.S. and international intellectual property laws. Nothing in these Terms transfers ownership of the Service to you. You retain all rights to the content you process with the Service. We claim no ownership of your footage, transcripts, or finished work.

10Privacy

Our handling of personal data is described in the Privacy Policy, which is incorporated by reference into these Terms. The Service is local-first by design. We do not upload your media, transcripts, or project files to our servers.

11Disclaimer of Warranties

The Service is provided "as is" and "as available." To the maximum extent permitted by law, Doza Visuals disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from a course of dealing or trade usage. We do not warrant that the Service will be uninterrupted, error-free, or that defects will be corrected. AI-assisted outputs such as transcripts, story suggestions, and clip recommendations are tools to assist your editorial judgment and are not a substitute for human review.

12Limitation of Liability

To the maximum extent permitted by law, in no event shall Doza Visuals, its officers, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, loss of goodwill, or business interruption, arising out of or in connection with the Service or these Terms, regardless of the theory of liability and even if we have been advised of the possibility of such damages. Our total aggregate liability arising out of or relating to these Terms or the Service shall not exceed the amount you paid to us for the Service during the twelve months immediately preceding the event giving rise to the claim.

13Indemnification

You agree to indemnify, defend, and hold harmless Doza Visuals and its affiliates from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service in violation of these Terms or any applicable law, or arising out of content you process with the Service that infringes the rights of any third party.

14Term and Termination

These Terms remain in effect for as long as you use the Service. We may suspend or terminate your license if you materially breach these Terms, including non-payment, abuse of license terms, or use of the Service to infringe third-party rights. On termination, you must stop using the Service and remove all copies from your devices. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, indemnification, and governing law) will survive.

15Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Bristol County, Massachusetts, and you consent to the personal jurisdiction of those courts.

16Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the revised Terms at this URL and update the "Last updated" date above. For substantial changes affecting existing customers, we will notify you by email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
