End User License Agreement.

The license you accept when you install and use Doza Cuts: the same text the app shows under Help › Acknowledgements. Doza Assist is covered by our Terms of Service.

This End User License Agreement ("Agreement") is between you ("you" or "Licensee") and Doza Visuals LLC, North Easton, Massachusetts ("Doza Visuals," "we," or "us"). It governs your use of the Doza Cuts software, including its documentation and any updates we provide (the "Software").

BY INSTALLING OR USING THE SOFTWARE, YOU AGREE TO THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE SOFTWARE.

If you purchased the Software through a reseller such as FxFactory, that reseller's purchase terms govern payment, refunds, and delivery. This Agreement governs your use of the Software itself.

01License Grant

Subject to this Agreement, Doza Visuals grants you a personal, non-exclusive, non-transferable, perpetual license to install and use the Software on up to two (2) Apple computers that you own or control, for your own use, including commercial use in your own video production work.

A trial version of the Software is available with a limited number of exports. The trial is licensed under this Agreement for evaluation purposes.

02Updates

Your license includes all updates to version 1.x of the Software at no additional charge. Doza Visuals may release future major versions (for example, version 2.0) as separate products that require a new or upgrade license. Doza Visuals is not obligated to provide updates, support, or maintenance, and may discontinue the Software at any time.

03What You May Not Do

Except as expressly permitted in this Agreement or by applicable law, you may not:

• (a) copy, distribute, rent, lease, lend, sell, sublicense, or otherwise transfer the Software or your license to any third party;
• (b) modify, adapt, translate, or create derivative works of the Software;
• (c) remove, alter, or obscure any proprietary notices in the Software;
• (d) circumvent, disable, or tamper with the Software's licensing, trial, or export-limiting mechanisms, or share license keys with others;
• (e) use the Software to provide a service bureau, hosted service, or similar offering to third parties, other than delivering your own finished video work to your own clients;
• (f) reverse engineer, decompile, or disassemble the Software, except as permitted under Section 4.

04Open Source and Third-party Components

The Software includes third-party components licensed under their own terms, including components under the GNU Lesser General Public License ("LGPL") such as FFmpeg. These components are listed, with their license texts, in the Acknowledgements window (Help > Acknowledgements) and in the NOTICES file included with the Software.

Nothing in this Agreement restricts rights you have under those third-party licenses. In particular, to the extent required by the LGPL, you may reverse engineer the LGPL-licensed components, and the portions of the Software that link to them, for the purpose of debugging your own modifications to those components, and you may replace those components with modified versions. Source code for the LGPL components, and the scripts used to build them, is available at the location stated in the NOTICES file.

In the event of a conflict between this Agreement and a third-party license for a specific component, the third-party license governs your use of that component.

05Ownership

The Software is licensed, not sold. Doza Visuals and its licensors retain all right, title, and interest in the Software, including all intellectual property rights. "Doza," "Doza Cuts," and "Doza Visuals" are trademarks of Doza Visuals LLC.

06Your Content

You retain all rights to the video, audio, project files, and other content you process with the Software ("Your Content") and to the edits the Software produces from it. Doza Visuals claims no ownership of Your Content or its output.

07Privacy and Network Access

The Software processes Your Content entirely on your computer. The Software does not collect analytics or usage data, and does not transmit Your Content to Doza Visuals or anyone else.

The Software may connect to the internet only in these cases:

• (a) Direct-purchase builds check doza.ai periodically for software updates and to verify your license key. These checks send only the information needed for that purpose, such as the Software version and your license key.
• (b) If you turn on the optional AI assistant feature (Help > AI assistants), the Software accepts connections from AI assistant applications on your computer and, where you configure it, from the assistant service you choose. That feature is off by default. When it is on, the assistant you connect may receive information about your projects, such as file names, angle names, and cut results, under that assistant's own privacy terms, not ours.
• (c) If you use "Report a Problem," the Software prepares an email with a local crash log for you to review and send. Nothing is sent unless you send it.

08Support

Support is provided by email at [email protected] on a reasonable-efforts basis. Doza Visuals does not guarantee response times or that any issue will be resolved.

09Term and Termination

This Agreement is effective until terminated. It terminates automatically if you breach any of its terms. Upon termination you must stop using the Software and delete all copies. Sections 4 through 7 and 10 through 14 survive termination.

10Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOZA VISUALS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SOFTWARE WILL BE ERROR-FREE OR OPERATE WITHOUT INTERRUPTION.

The Software makes automated editing decisions. You are responsible for reviewing its output before use. Doza Visuals does not warrant that any cut, angle selection, framing, or export will be suitable for your purposes or compatible with any particular version of third-party editing software.

11Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOZA VISUALS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR BUSINESS, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. DOZA VISUALS' TOTAL LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12Export Compliance

You agree to comply with all applicable export and import laws and regulations in your use of the Software.

13Governing Law

This Agreement is governed by the laws of the Commonwealth of Massachusetts, USA, without regard to its conflict of laws principles. Any dispute arising under this Agreement will be brought in the state or federal courts located in Massachusetts, and you consent to their jurisdiction. If you are a consumer in a jurisdiction whose law gives you non-waivable rights, nothing in this Section limits those rights.

14General

This Agreement is the entire agreement between you and Doza Visuals regarding the Software and supersedes any prior agreements. If any provision is found unenforceable, the remainder stays in effect. Doza Visuals' failure to enforce any provision is not a waiver. You may not assign this Agreement without our written consent. Doza Visuals may update this Agreement for future versions of the Software; the version included with the Software you installed is the one that applies to it.
